Terms of Service
Version 1, in effect from
On this page
The short version. Your company signs up and we run Coding Cords for it. Your data is yours; we process it only to run the service, as your processor under our DPA. Lemon Squeezy sells you the subscription and handles payment, tax and refunds. Use it lawfully: no spam, no abuse, follow the Acceptable Use Policy. You can leave any time and take your data with you. If something goes wrong, our liability is capped at what you paid us in the last 12 months. Pakistani law applies and the courts of Islamabad decide disputes.
1. Who this agreement is between
These terms are between Coding Cords, of Bahria Enclave, Islamabad, Pakistan ("Coding Cords", "we", "us"), and the company or organisation that creates a workspace ("Customer", "you"). Our registration details are given on request at legal@codingcords.com.
The person who accepts these terms confirms they may bind the Customer. Coding Cords is made for businesses; it is not offered to consumers.
These terms include, by reference, the Acceptable Use Policy, the Data Processing Addendum, the AI Terms, the Sending and Outreach Terms, the Phone and Calling Terms and the Service-Specific Terms, each applying when you use the feature it covers. If they conflict, this order wins: an order form signed by both of us, the DPA (for personal data), the service-specific terms, these terms, then the policies.
2. The service
Coding Cords is a workspace at workspace.codingcords.com: projects and tasks, files and documents, mail on your own domains, chat, meetings with recording and transcription, CRM and outreach, finance, invoices and payroll, e-signing, a Vault, a client portal, phone numbers and calls, and an AI assistant, Cord. What you get depends on your plan.
We improve and change the service over time. We will not materially reduce the core functions of a plan during a period you have already paid for.
3. Accounts and users
- You choose who joins your workspace ("Users") and what each may use. Owners and admins control settings, access and data, including other Users' content in the workspace.
- You are responsible for your Users and for keeping sign-in details safe. If you think an account has been taken over, tell us at security@codingcords.com straight away.
- Clients you invite to the client portal, and guests you invite to meetings or to sign documents, are not Users, but you are responsible for inviting them and for what you share with them.
4. Your data
- Customer Data is everything you and your Users put into the service: files, mail, messages, recordings, transcripts, contacts, Vault items and the rest. You own it.
- You give us only the rights needed to host, process, send and display Customer Data to provide and secure the service, as set out in the DPA. We do not sell it, and we do not use it to train AI models (see the AI Terms).
- You are responsible for having the right to put Customer Data into the service, including the notices and consents owed to people you record, call, email or keep in the CRM.
- We may use aggregated, de-identified usage figures (for example how often a feature is used) to run and improve the service. They never identify you, your Users or the people in your data.
5. Acceptable use
You and your Users must follow the Acceptable Use Policy. We may suspend an account, mailbox, sending domain, phone number or feature to stop abuse, protect mail delivery or comply with the law. Where we reasonably can, we tell you first, and we limit any suspension to what is needed.
6. Fees and payment
- Subscriptions are sold by our reseller Lemon Squeezy (Lemon Squeezy LLC), the merchant of record. Lemon Squeezy takes payment, charges sales tax or VAT, issues invoices and handles refunds under its buyer terms. We never see your card number.
- Plans renew automatically each month or year until cancelled. Usage beyond your plan (calls, numbers, extra mailboxes, storage or AI) is charged as shown in the app before you buy it.
- We may change prices with at least 30 days' notice. A new price applies from your next renewal.
- If a payment fails, we tell you. After 14 days unpaid we may make the workspace read-only until it is paid; we do not delete data for late payment during that time.
- Refunds follow the Refund Policy.
7. Our intellectual property
We own the service, its software and our brand. You get a non-exclusive, non-transferable right to use it for your business during your subscription. Do not copy or resell it, reverse engineer it (except where the law allows), or use it to build a competing product. We may use feedback you give us freely, without owing you anything for it.
8. Confidentiality
Each of us keeps the other's non-public information confidential, uses it only for this agreement and protects it with reasonable care. This does not cover information that is public, was already known, was developed independently, or must be disclosed by law (with notice where the law allows).
9. Security and privacy
We protect Customer Data as described on the Security page and in the DPA. How we handle account, billing and website information is in the Privacy Policy.
10. Availability and support
We aim to keep the service available at all times apart from planned maintenance, which we announce in advance where we can. A service level with credits is offered only to Enterprise customers under the SLA. Support is by email at support@codingcords.com and in the app.
11. Third-party services
Some features rely on providers such as Telnyx for phone numbers and AI model providers for Cord, as listed on the Subprocessors page. Features that connect to services you choose (for example importing mail from another host) are also governed by those services' terms.
12. Warranties and disclaimers
Each of us has the authority to enter this agreement. We will provide the service with reasonable skill and care and as its documentation describes. Beyond that, the service is provided "as is": we do not promise it will be free of errors or interruptions. AI output can be wrong and must be checked before you rely on it. Coding Cords does not give legal, tax, payroll or accounting advice; check invoices, payslips and tax figures before you use them.
13. Liability
- Neither of us is liable for indirect or consequential loss, or for lost profits, revenue or goodwill.
- Each party's total liability under this agreement is limited to the fees paid or payable by you in the 12 months before the event that gave rise to the claim.
- These limits do not apply to your payment obligations, either party's indemnity obligations, breach of confidentiality, or liability that the law does not allow to be limited (such as fraud, or death or personal injury caused by negligence).
14. Indemnities
We will defend you against third-party claims that the service, as we provide it, infringes their intellectual property, and pay the damages awarded, unless the claim comes from your data, your changes, or combinations we did not provide. You will defend us against third-party claims that come from Customer Data or from your or your Users' breach of the Acceptable Use Policy, the Sending and Outreach Terms or the Phone and Calling Terms, including claims about messages or calls you sent.
15. Term, cancellation and your data
- This agreement lasts while you have a workspace. You can cancel any time in Settings; cancellation takes effect at the end of the paid period.
- We may end the agreement for a material breach that is not fixed within 30 days of notice, or at once for serious abuse or illegal use.
- After the end you have 30 days to export your data (files, documents, mail over IMAP, CRM and finance exports). We then delete Customer Data within 30 days, and it is gone from backups within 35 days after that, except where the law requires us to keep something (for example billing records).
- Sections that by their nature should survive the end of the agreement do (fees owed, confidentiality, liability, indemnities, law and courts).
16. Changes to these terms
We may update these terms. For a material change we give at least 30 days' notice by email to workspace owners and in the app, and record it on the page's version history. If you disagree, you may cancel before the change takes effect and we refund prepaid fees for the unused period. Otherwise the new terms apply from their effective date, and we may ask an owner to accept them in the app.
17. General
- Law and courts. This agreement is governed by the laws of Pakistan, and the courts of Islamabad have exclusive jurisdiction. Either party may still ask any competent court for urgent relief.
- Notices to us go to legal@codingcords.com; notices to you go to the workspace owner's email.
- Assignment. Neither party may transfer this agreement without the other's consent, except to a successor of its business.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Export and sanctions. You will not use the service where, or for anyone with whom, sanctions law forbids it.
- Entire agreement. This is the whole agreement between us; terms on purchase orders do not apply. If one part is unenforceable, the rest stays in force. Not enforcing a right is not giving it up.
- Publicity. We will not name you as a customer without your permission.
